A company is not created by choosing a name alone. The registration file must connect the founders, office, activities and declarations coherently.
1. Define the activity and the founders
Before preparing forms, clarify what the company will do, who the founders and administrator will be, and whether any activity needs a separate authorisation. Tax, licensing and residence questions may need advice from the relevant professional.
2. Reserve the company name
ONRC describes company-name verification and reservation as a preliminary action. Prepare alternatives because the preferred name may not be available.
3. Prepare the registration components
- Registration application and fiscal-registration annex
- Foreign-investment annex where applicable
- Registered-office evidence
- Articles of association
- Declarations concerning operating conditions
- Founder and administrator documents
4. Separate administration from legal and tax decisions
Administrative support can help organise the process. It should not replace advice on ownership, contracts, taxes, regulated activities or immigration consequences.
Forms and requirements are updated by the Romanian National Trade Register Office.
